Terms and Conditions of Use

1. Introduction and Scope

RiskyID is a product operated by Ideas Premium Solutions, Inc. (“Ideas Premium,” “RiskyID,” “we,” “us,” or “our”). RiskyID provides online screening tools that allow authorized users to search the names of individuals, companies, institutions, and other entities against global risk-related databases, including sanctions, watchlists, politically exposed persons (“PEPs”), and other high-risk categories available through third-party data providers.
These Terms and Conditions of Use (“Terms”) govern your access to and use of the RiskyID website, platform, mobile application, AI assistant, forms, scheduling tools, materials, software, reports, application programming interfaces (“APIs”), and related services (collectively, the “Services”). By accessing or using the Services, creating an account, submitting information through our website, purchasing a plan, or using any RiskyID report or search result, you agree to these Terms.
If you use the Services on behalf of a company, institution, or other legal entity, you represent that you are authorized to accept these Terms on behalf of that organization. The organization is responsible for ensuring that its users comply with these Terms and all applicable laws, regulations, internal policies, and contractual restrictions.

2. Nature of the Services

RiskyID is a compliance screening and risk information tool. It is designed to support due diligence, sanctions compliance, anti-money laundering and counter-terrorist financing controls, supplier/customer screening, and other lawful compliance or risk management processes. RiskyID does not provide legal advice, financial advice, investigative services, credit reports, consumer reports, identity verification, or official government determinations.
The Services may include, depending on the plan or module purchased:

  • Individual name and entity screening;
  • Batch screening through approved templates;
  • PDF search reports;
  • Ongoing or periodic monitoring of selected names, when available under the applicable plan;
  • API-based screening integrations;

Website forms, AI assistant interactions, scheduling tools, and transactional communications related to service requests.
Search results may include information provided by third-party data providers. RiskyID does not create, control, or guarantee the completeness, accuracy, timeliness, translation, classification, or availability of all third-party data included in the Services.


3. Eligibility and Account Registration

You must be at least 18 years old to access or use the Services. You agree to provide accurate, complete, and current information when creating an account, purchasing a plan, requesting a meeting, or using any RiskyID service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You may not share your username, password, API credentials, access tokens, reports, or account access with unauthorized persons. You must notify RiskyID immediately if you suspect unauthorized access, compromised credentials, or suspicious activity involving your account.


4. License and Authorized Use

Subject to your compliance with these Terms and payment of applicable fees, RiskyID grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful internal compliance, due diligence, risk management, or other authorized business purposes. This license does not transfer any ownership rights in the Services, software, trademarks, data, reports, documentation, or content.
You may use the Services only according to the plan, package, subscription, or written agreement purchased by you or by the organization through which you access the Services. Any use outside the scope of the applicable plan or agreement is prohibited unless expressly authorized in writing by RiskyID.


5. User Responsibilities and Lawful Basis

You are responsible for ensuring that you have a lawful basis, authorization, or legitimate business purpose to submit, screen, monitor, upload, store, or otherwise process any personal data, company data, or third-party information through the Services. You are also responsible for complying with applicable privacy, data protection, anti-discrimination, consumer protection, employment, financial services, sanctions, anti-money laundering, and records retention laws that may apply to your use of the Services.
You agree that search results and reports are informational tools to support your own review and decision-making process. You are responsible for independently evaluating search results, documenting your analysis, determining whether a match is a false positive or true positive, and applying your internal policies and applicable laws before taking any action based on RiskyID information.


6. Prohibited Uses

You may not use the Services to:

  • Promote, facilitate, conceal, or support illegal activity;
  • Assist any person or entity in evading law enforcement, sanctions, regulatory requirements, investigations, asset freezes, or other legal obligations;
  • Expose, disclose, publish, or disseminate sensitive information about individuals or entities except as lawfully required or permitted for compliance, legal, regulatory, audit, or internal risk management purposes;
  • Harass, threaten, intimidate, defame, discriminate against, or otherwise harm any person or entity;
  • Use the Services for unlawful surveillance, doxing, blackmail, extortion, or reputational attacks;
  • Use the Services as the sole basis for credit, employment, housing, insurance, immigration, or other decisions where applicable law requires additional procedures, disclosures, authorizations, or restrictions;
  • Resell, sublicense, redistribute, publish, scrape, extract, reproduce, transfer, or commercially exploit the Services, reports, search results, data, or third-party content unless expressly authorized in writing by RiskyID;
  • Modify, alter, remove, or falsify RiskyID reports, data source references, logos, disclaimers, timestamps, or search parameters;
  • Attempt to access another user’s account or private areas of the Services;
  • Bypass, test, probe, disable, overload, interfere with, or circumvent authentication, rate limits, security controls, API limits, or technical protections;
  • Reverse engineer, decompile, copy, or attempt to derive source code, architecture, prompts, workflows, models, or proprietary configurations used in the Services;
  • Upload malware, viruses, corrupted files, unlawful data, or content that violates third-party rights;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Encourage, enable, or assist anyone else to do any of the above.

Violation of these Terms may result in suspension, termination, restricted access, deletion of unauthorized content, refusal of service, cancellation of plans, and/or legal action.


7. Search Results, Reports, and User Decisions

RiskyID search results and reports are generated based on the search criteria entered by the user and the data available through the platform and its data providers at the time of the search. Results may vary depending on spelling, aliases, transliterations, identifiers, jurisdiction filters, data updates, provider availability, and search configuration.
RiskyID reports are issued for informational and compliance screening purposes only. Reports may be printed, downloaded, emailed, or stored by authorized users according to their plan and applicable law. Reports must not be edited, modified, altered, falsified, or presented in a misleading manner. Any modification or alteration of a report may invalidate its reliability for compliance or audit purposes and may result in suspension or termination of the account.
RiskyID does not guarantee that all sanctioned persons, PEPs, persons convicted of financial crimes, blocked persons, high-risk entities, or other relevant profiles worldwide are included in the databases used by the platform. RiskyID is not an official sanctions authority, government agency, law enforcement body, or regulator. Users should consult official sources, legal counsel, and their own compliance policies when required.


8. Third-Party Data Providers and Content

The Services may include data, databases, materials, links, or content provided by third parties, including Dow Jones Corporation and other providers, vendors, or technology partners. Third-party data may be subject to separate intellectual property rights, usage restrictions, licensing obligations, availability limitations, update cycles, and classification standards.
RiskyID does not warrant that third-party data will be uninterrupted, error-free, complete, translated, current, or suitable for any specific purpose. RiskyID is not responsible for third-party websites, content, services, or materials that may be accessed through links or integrations made available through the Services.


9. Data Protection and Security

RiskyID maintains reasonable administrative, technical, and organizational safeguards designed to protect user data and platform security. However, no system, network, database, or electronic transmission can be guaranteed to be completely secure. You acknowledge that you use the Services at your own risk and that unauthorized third parties may attempt to defeat security measures.
You must promptly notify RiskyID if you become aware of unauthorized access, compromised credentials, suspicious activity, or any actual or suspected security incident involving your account or use of the Services. Notifications should be sent to: [email protected].
RiskyID’s collection, use, storage, sharing, and protection of personal information is described in the RiskyID Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy will control for privacy-specific matters.


10. SMS Communications and Consent

By providing your phone number through the RiskyID website, forms, AI assistant, scheduling process, or any other authorized channel, you may expressly consent to receive transactional SMS messages from RiskyID related to your request. These messages may include one-time verification codes, phone number confirmation messages, appointment scheduling confirmations, or other communications directly related to the service or meeting requested by you.
Message frequency may vary depending on your interaction with RiskyID. Message and data rates may apply according to your mobile carrier. You may opt out of SMS messages at any time by replying STOP. For help, you may reply HELP or contact us through the official contact channels listed on our website. Consent to receive SMS messages is not a condition of purchasing any product or service.
RiskyID does not sell, rent, share, or transfer mobile phone numbers, opt-in data, or SMS consent with third parties, affiliates, or partners for marketing, advertising, promotional, or lead generation purposes. Any advertising, analytics, or remarketing practices described in RiskyID’s Privacy Policy do not apply to SMS consent or phone numbers collected for SMS verification or appointment scheduling purposes.


11. Marketing Communications and Business Outreach

RiskyID may use contact information provided by users, leads, customers, or website visitors to respond to inquiries, provide requested information, send service-related communications, deliver proposals, process payments, manage accounts, and support customer relationships. Where permitted by law or based on the user’s consent, RiskyID may also send marketing communications about RiskyID products, updates, webinars, educational content, promotions, packages, or related compliance solutions.
Marketing communications may be sent by email or other lawful channels, subject to applicable consent, unsubscribe, and opt-out requirements. RiskyID may also use aggregated, de-identified, or statistical information to improve services, analyze market interest, develop product features, create business insights, and support commercial strategy. RiskyID will not use SMS verification consent or SMS opt-in data for marketing, promotional, advertising, or lead generation purposes.
RiskyID may publish case studies, testimonials, client references, logos, or success stories only when legally permitted and, where appropriate, with the client’s authorization or in an aggregated or de-identified manner that does not disclose confidential customer information.


12. Batch Screening, Monitoring, and API Use

Some plans may include batch screening, ongoing monitoring, or API access. Batch screening must be performed using the templates, formats, and instructions provided by RiskyID. RiskyID may reject, delay, or fail to process files that use incorrect templates, unsupported formats, incomplete data, mixed search types, or modified structures.
Screening individuals and entities may require different search criteria, templates, or workflows. Users are responsible for validating the accuracy and completeness of uploaded data and for ensuring that each upload complies with applicable law, internal policy, and contractual requirements.
API users must protect API keys, tokens, credentials, and integration endpoints. RiskyID may impose rate limits, usage caps, technical restrictions, monitoring rules, or other controls to protect system performance, third-party provider requirements, and platform integrity. API access may be suspended or limited if usage threatens platform stability, violates these Terms, or exceeds the applicable plan or agreement.
Ongoing or periodic monitoring, when included in a plan, is subject to provider availability, technical limits, plan limits, data updates, and operational rules. RiskyID may change monitoring frequency, workflow, or technical implementation when necessary to maintain service quality, compliance, or provider requirements.


13. Fees, Plans, Billing, and Taxes

Fees, packages, subscriptions, verification packages, usage limits, expiration periods, and service features are determined according to the plan, package, proposal, order form, invoice, or online checkout selected by the customer. Unless otherwise stated, prices are expressed in U.S. dollars and do not include applicable taxes, bank fees, card fees, transfer fees, currency conversion charges, or other charges imposed by third parties.
Monthly subscriptions renew automatically unless canceled according to the cancellation process made available by RiskyID. If you cancel a monthly plan, you will continue to have access until the end of the paid period, but you will not receive a refund, credit, voucher, or partial reimbursement unless required by law or expressly stated in writing by RiskyID.
Prepaid verification packages, annual packages, credits, or usage-based plans may be subject to expiration dates, usage limits, account restrictions, or other conditions stated at the time of purchase. Unused searches, credits, or verifications may expire at the end of the applicable period unless RiskyID expressly agrees otherwise in writing.
RiskyID may modify prices, packages, features, usage limits, renewal terms, or payment methods from time to time. Material changes to paid services will apply prospectively, unless otherwise stated in a written agreement or required by law.


14. Refunds and Service Changes

Except as expressly stated in an applicable order form, proposal, or written agreement, payments are non-refundable. RiskyID may, at its discretion, provide credits, extensions, or refunds in limited circumstances, but doing so in one case does not create an obligation to do so in the future.
RiskyID may add, modify, suspend, discontinue, or replace features, modules, interfaces, reports, integrations, data sources, or workflows. We may also suspend or restrict access to the Services if required by security, compliance, provider restrictions, system integrity, non-payment, misuse, or violation of these Terms.


15. Intellectual Property

All rights, title, and interest in the RiskyID name, trademarks, logos, platform, software, workflows, designs, reports, documentation, content, prompts, processes, business methods, know-how, and other materials are owned by Ideas Premium Solutions, Inc. or its licensors, unless otherwise stated. You may not copy, reproduce, modify, distribute, sell, resell, license, reverse engineer, or create derivative works from the Services or their components except as expressly permitted in writing.
Third-party names, trademarks, logos, and data remain the property of their respective owners. Nothing in these Terms grants you ownership of third-party intellectual property.


16. Confidentiality

Users may access confidential, sensitive, regulated, or commercially valuable information through the Services. You agree to protect such information using reasonable security measures and to disclose it only to authorized personnel, legal advisors, auditors, regulators, law enforcement authorities, or other parties with a lawful need to know.
You may not publicly disclose, post, publish, or distribute RiskyID search results, reports, screenshots, underlying data, platform workflows, API responses, or other confidential materials except as permitted by law, regulation, internal compliance requirements, or written authorization from RiskyID.


17. Disclaimers

The Services and all content, data, reports, materials, software, integrations, and communications are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, RiskyID disclaims all warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free operation.
RiskyID does not guarantee that use of the Services will satisfy any specific legal, regulatory, audit, contractual, compliance, sanctions, anti-money laundering, or due diligence obligation. The user remains responsible for determining how to use search results, whether additional verification is required, and whether any regulatory filing, escalation, freeze, rejection, enhanced due diligence, or other action is necessary.


18. Limitation of Liability

To the maximum extent permitted by law, RiskyID, Ideas Premium Solutions, Inc., their directors, officers, employees, contractors, affiliates, licensors, data providers, technology providers, and business partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; loss of profits; loss of revenue; loss of data; business interruption; reputational harm; or other intangible losses arising out of or related to your access to or use of the Services, inability to access or use the Services, third-party data, user decisions, unauthorized access, or any conduct of third parties.
To the maximum extent permitted by law, RiskyID’s total liability for any claim arising out of or related to the Services or these Terms will not exceed the amount paid by the customer to RiskyID for the specific Service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, unless a different limitation is required by applicable law or agreed in writing.
Any claim or cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after the claim arose, unless a longer period is required by applicable law.


19. Indemnification

You agree to defend, indemnify, and hold harmless RiskyID, Ideas Premium Solutions, Inc., their directors, officers, employees, contractors, affiliates, licensors, data providers, technology providers, and business partners from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use or misuse of the Services;
  • Your violation of these Terms;
  • Your violation of applicable law or third-party rights;
  • Data, names, files, identifiers, or other information submitted by you or on your behalf;
  • Your decisions, actions, omissions, or communications based on RiskyID search results or reports;
  • Unauthorized sharing, modification, redistribution, or publication of RiskyID data, reports, or platform materials.


20. Termination

RiskyID may suspend, restrict, or terminate your access to all or part of the Services at any time if we believe that you have violated these Terms, failed to pay applicable fees, created a security risk, exceeded usage limits, misused the Services, violated third-party provider requirements, or engaged in conduct that may expose RiskyID, its customers, data providers, or partners to legal, regulatory, commercial, or security risk.
Upon termination, your right to access the Services will end immediately. Provisions regarding intellectual property, confidentiality, restrictions on use, disclaimers, limitation of liability, indemnification, payment obligations, and dispute resolution will survive termination.


21. Changes to These Terms

RiskyID may update these Terms from time to time. Updated Terms will be posted on the RiskyID website or otherwise made available through the Services. Unless otherwise stated, changes become effective when published. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
For material changes affecting paid subscriptions, RiskyID may provide notice through the website, email, account dashboard, invoice, or other reasonable means. If you do not agree to updated Terms, you must stop using the Services and, when applicable, cancel your subscription before the next renewal period.


22. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to the Services will be governed by the laws of the State of Florida, United States, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in or serving Lee County, Florida, for any dispute arising out of or related to these Terms or the Services, unless otherwise required by applicable law.


23. Entire Agreement

These Terms, together with any applicable order form, invoice, proposal, subscription terms, privacy policy, data processing terms, or written agreement signed by RiskyID, constitute the entire agreement between you and RiskyID regarding the Services and supersede any prior or contemporaneous understandings regarding the same subject matter.
